I/We hereby request that TRULAW CORPORATE SERVICES LTD. ("TLCS") establish a Cayman Islands exempted company in accordance with the information provided herein:

Please provide in detail the main reasons for establishing the Company as those reasons may impact on the documentation required for filing with the Cayman Islands Registrar of Companies.
DETAILS OF COMPANY OWNERSHIP
It is the normal procedure for a company to issue registered shares. The registered shareholders need not necessarily be the ultimate beneficial owners of the Company, however any such arrangements must be evidenced by suitable agreements, copies of which must be provided to TLCS.
IDENTITY OF REGISTERED SHAREHOLDERS It is required that there be at least one shareholder. If registered shareholders differ from the ultimate beneficial owner(s), proof of identity and references will be required for both. If the beneficial owner is a company, the documents listed in Appendix A will be required, together with a Due Diligence Questionnaire for each shareholder who holds 10% or more of the issued share capital and for at least two directors, of the parent company.

DOCUMENTS REQUIRED WHEN THE PROPOSED PARENT COMPANY IS A CORPORATE ENTITY
  • Certificate of Incorporation and any Certificates on Change of Name.
  • Memorandum and Articles of Association or equivalent – (Bye-Laws, Official Charter, etc.)
  • Registered Office address, telephone/facsimile numbers, e- mail address
  • Certificate of Good Standing
  • Registers of Members, Directors, Officers and authorized signatories
  • Financial Statements – Audited if available (optional, but we reserve the right to subsequently request them)
  • Bank and Professional references (at least three years association between referee and
    nominee)
  • Resolution of the Directors approving the incorporation of the Cayman Company
  • Personal due diligence on at least two of the directors and any shareholder who holds more
    than 10% of the issued share capital, of the parent company

All reference letters must be originals, addressed to Trulaw Corporate Services Ltd., and the bank reference must verify the permanent address of the parent company.

All other documents must be originals, or copies certified by a Notary Public.

GENERAL
We will require background information on the parent company. i.e. Description of usual business, products/services, activities, markets, etc.
